TERMS & CONDITIONS OF SALE
SOURCE Buyer has agreed, either electronically or via a signed purchase agreement with The Institute for Forensic Education, Inc. (hereafter referred to as IFFE) to terms and conditions applicable to this sale of product. If no such current agreement exists, then the terms and conditions contained herein ("Terms & Conditions of Sale") shall apply to all quotations made and contracts of sale entered into between IFFE and Buyer, irrespective of whether Buyer accepts these Terms & Conditions of Sale by a written acknowledgement, by implication, or by acceptance of goods hereunder.
Any term or condition on any order or other document submitted by Buyer shall be of no force or affect whatsoever and IFFE specifically rejects any different or additional terms and conditions proposed by Buyer.
ELIGIBLE BUYER By purchasing under these Terms & Conditions of Sale, Buyer represents and warrants that Buyer is aware of and meets all of the criteria established by IFFE to be an Eligible Buyer (being a member within one or any part of the criminal justice system.
If Buyer is purchasing from IFFE ‘s Bulk Order Discount Scale, Buyer represents and warrants that Buyer is a public or private, state accredited, degree granting institution organized specifically for educational purposes. Eligible Buyers include school districts and their school systems, Boards of Education, state universities and colleges, and community, vocational, and technical colleges. IFFE reserves complete discretion in making all eligibility determinations.
ALL SALES FINAL. No returns will be accepted for any reason. Exchanges will be allowed per the terms of the IFFE Lifetime Warranty included with Purchase of Forensic Death Investigation.
NO RESALE Product purchased shall be for Buyers own use in its facilities in the United States and shall not be purchased for the purpose reproducing, replicating or for resale to another entity or individual.
RESALE Product(s) purchased by qualified institutions using Bulk Order Discounts shall have the ability to resell product within that representative institution to students within the representative programs affiliated with that said institution.
NO EXPORT Products may not be purchased for export, either directly or indirectly.
PRICE Prices shall be as set forth on the applicable Authorized IFFE price list in effect on the date Buyer's order is accepted by IFFE. IFFE reserves the right to accept or decline any order, in whole or in part. IFFE may cancel any accepted order prior to shipment. Unless Buyer notifies IFFE otherwise, IFFE may make partial shipments of Buyer's order. IFFE will not be liable for any failure to ship complete orders. Buyer will be invoiced separately for each partial shipment and will pay each invoice when due, without regard to subsequent deliveries. Should orders for product exceed IFFE’s available inventory, IFFE will allocate its available inventory and make deliveries (including partial shipments) on a basis IFFE deems equitable, in its sole discretion and without liability to Buyer. Prices include standard freight and insurance using an IFFE-selected carrier. All applicable local sales or use taxes, duties, or other imposts, if any, due on account of purchases hereunder shall be paid by Buyer. Proof of tax exempt status must be on file at IFFE’s Support Center for any order to be treated as a tax-exempt transaction.
TITLE AND DELIVERY Title and risk of loss to all products will pass to Buyer
upon shipment from IFFE's shipping location.
PAYMENT Buyer shall prepay all orders unless credit is first extended by
IFFE. If credit is extended by IFFE, Buyer will be invoiced upon shipment of products and payment of such invoice is due no later than thirty (30) days from the date of invoice. IFFE reserves the right to change Buyer's credit terms at any time.
LIMITED WARRANTY The sole warranty for IFFE’s product shall be IFFE’s Standard Limited Warranty as set forth in the documentation that accompanies each product. That is unit will be replaced if and only if unit does not perform to standards and is returned to IFFE. When returned to the satisfaction of IFFE then a new unit will be released to the BUYER, AT NO COST TO THE BUYER for the first warranty exchange. All exchanges thereafter will require a fee set forth by IFFE.
IFFE MAKES NO OTHER WARRANTY TO BUYER, EITHER EXPRESS OR IMPLIED, WITH RESPECT TO THE PRODUCTS. IFFE SPECIFICALLY DISCLAIMS THE IMPLIED WARRANTIES OF MERCHANT ABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
Buyer shall not copy the product purchased from IFFE in any form or manner unless authorized by written agreement between BUYER and IFFE which is on file at or within IFFE Corporate headquarters.
LIMITATION OF LIABILITY AND REMEDIES IN NO EVENT SHALL IFFE BE LIABLE FOR DIRECT, INCIDENTAL, CONSEQUENTIAL, INDIRECT, OR SPECIAL DAMAGES INCLUDING, WITHOUT LIMITATION, BODILY INJURY, LOST BUSINESS PROFITS OR REVENUE.
THE REMEDIES SET FORTH IN THESE TERMS AND CONDITIONS OF SALE SHALL BE BUYERS SOLE AND EXCLUSIVE REMEDIES FOR ANY BREACH OF THESE TERMS & CONDITIONS OF SALE BY IFFE.
GENERAL TERMS These Terms & Conditions of Sale will be governed and interpreted under the laws of Nevada, U.S.A., without regard to its conflict of law’s provisions.
SEVERABILITY If a court of competent jurisdiction holds that any provision of these Terms & Conditions of Sale is invalid or unenforceable, the remaining provisions of these Terms & Conditions of Sale will remain in full force and
effect, and the parties will replace the invalid or unenforceable provision with a valid and enforceable provision that achieves the original intent of the parties and economic effect of these Terms & Conditions of Sale. Waivers. A party's waiver of any breach by the other party or failure to enforce a remedy will not be considered a waiver of subsequent breaches of the same or of a different kind.
ASSIGNMENTS Buyer shall not assign its order, or any interest therein, or any rights hereunder without the prior written consent of Seller.
ENTIRE AGREEMENT These Terms & Conditions of Sale contain all the agreements, warranties, understandings, conditions, covenants, and representations made between Buyer and IFFE. Neither Buyer nor IFFE will be liable for any agreements, warranties, understandings, conditions, covenants, or representations not expressly set forth or referenced in these Terms & Conditions of Sale. Buyer acknowledges that IFFE reserves the right to refuse any different or additional provisions in purchase orders, invoices, or similar documents, and such refused provisions will be unenforceable.
INTERNET AND TRAINING PROGRAM USE In accordance to Internet business practices, www.FdiLab.com is protected by copyright and intellectual property laws. By purchasing you agree and understand that only one person is allowed to use a program and its purchased resources. The only exceptions are if Schools, Training Institutions, Agencies, or Departments purchase the program to show as a group lecture in the classroom environment; or, if the purchase is made for Library use. No copies of any type are permitted in any form. Access to the www.FdiLab.com is limited to one user at a time per IP Address, per User ID. Meaning only one person can use the User ID they are assigned. School libraries are permitted to allow students to use the User ID number on individual basis. But log in is permitted to only one User ID can be used. No two people can be signed on to use www.FdiLab.com at the same time. IFFE reserves the right to terminate your account with no refund at anytime for any violation of the forementioned.
